# Terms of service.

The agreement between your store and ONDUTYOPS LLC when you install or use Actorly. It covers what the service does, what it costs, what a restore can and cannot promise, and what happens when you leave.

ONDUTYOPS LLC[team@actorly.app](mailto:team@actorly.app) Effective 2026-10-13

Effective 2026-10-13. These terms replace any earlier version. By installing or using Actorly you agree to them.

### Contents 24 sections

## 1 Acceptance, and who may enter this agreement

1.1 These terms are an agreement between you and ONDUTYOPS LLC ("we", "us", "Actorly"). By installing Actorly in a Shopify store, by opening it, or by using any part of it, you accept these terms for yourself and for the business that owns the store.

1.2 If you accept for a business, you confirm that you have the authority to bind it. If you do not have that authority, or you do not accept these terms, do not install or use Actorly.

1.3 You must be at least 18 years old, and legally able to form a binding contract, to accept these terms for yourself. Actorly is a tool for the people who run Shopify stores; it is not directed at children.

1.4 These terms apply together with the privacy policy and, where you need one, the data processing agreement. If the data processing agreement conflicts with these terms about how personal data is handled, the data processing agreement decides that point.

## 2 Definitions

2.1 In these terms the following words have these meanings.

- "Actorly" or "the service" means the Shopify app called Actorly, its pages inside the Shopify admin, and the website at actorly.app that describes it.
- "Store" means the Shopify store in which Actorly is installed.
- "You" means the business or person that owns or manages the store and accepts these terms.
- "Change history" or "ledger" means the record Actorly keeps, per store, of what changed in the store: the field, the old value, the new value, when it changed, and who made the change when Shopify reports it.
- "Field" means one named part of a record, such as a product's title or a variant's price.
- "Restore" means putting one earlier value back into one field of one record, after you have confirmed the exact value.
- "Plan" means Actorly Watch or Actorly Restore, as described in section 6.
- "Shopify" means Shopify Inc. and its affiliates, and "Shopify agreement" means the agreements between you and Shopify, including Shopify's terms for merchants and its app and API terms.
- "Customer data" means personal details about your store's customers that appear in a change Actorly records, as listed in the privacy policy.
- "Personal data" has the meaning it has in the privacy law that applies to it.

## 3 The service

3.1 Actorly records changes to supported parts of your Shopify store, shows them to you in one searchable change history, shows who made a change together with how sure Actorly is, and lets you restore supported fields one at a time.

3.2 What Actorly tracks is listed on the coverage page of the website. The list is generated from the app and shows, for each part of a store, whether it is tracked, tracked on a scheduled check, not yet tracked, or not possible. Where a part of the store is marked not yet or not possible, the service does not track it, and nothing in these terms promises that it will.

3.3 Some parts of a store are noticed through Shopify's change notifications. Other parts, such as pages, blogs, articles, menus, URL redirects, price lists, policies and files, are re-read on a schedule because Shopify sends no change notice for them: weekly on Watch and daily on Restore. A change to those parts appears when the next scheduled check reads it, not at the moment it happened.

3.4 Actorly changes your store only during a restore that you confirmed. It adds nothing to your storefront: no scripts, no theme code, no app blocks and no pixels.

3.5 Actorly does not use artificial intelligence to record a change or to decide who made it. Those are done by fixed rules.

3.6 We may improve, add to, change or withdraw features. If we withdraw a feature that a paid plan includes, or change what a plan includes in a way that is material and adverse to existing subscribers, we will give reasonable advance notice in the app, through Shopify or on the website.

## 4 Shopify and your Shopify agreement

4.1 Actorly runs inside the Shopify admin and depends on Shopify. You install it through Shopify, you approve its permissions in Shopify, and Shopify bills for it. Your agreement with Shopify stays in force and is separate from these terms.

4.2 If a Shopify term and one of these terms conflict about something Shopify controls, such as how an app is installed, how billing works, what an app may read, or what Shopify sends to an app, the Shopify term decides that point.

4.3 Actorly can only see and change what Shopify lets an app see and change, and only with the permissions you approved. Shopify may change what apps can access. If it does, parts of Actorly may stop working or be withdrawn, and we are not liable for a change that Shopify makes.

4.4 Who made a change is something Shopify reports in part and not at all in other cases. Actorly shows the name Shopify gives, with its confidence, or shows Unknown. See section 9.

4.5 You are responsible for complying with your Shopify agreement, including any rules Shopify sets for protected customer data and for your own use of apps.

## 5 Accounts, installation and eligibility

5.1 There is no separate Actorly account to open. Access to Actorly is through your Shopify admin login, and the people who can open Actorly are the people Shopify lets open it for your store.

5.2 You are responsible for who has access to your Shopify admin and therefore to Actorly, for keeping your Shopify login secure, and for everything done through it. Tell us promptly at team@actorly.app if you think access to your store has been misused.

5.3 When you install Actorly you approve a fixed list of 25 permissions. None is optional. Twenty let Actorly read parts of your store and five let it write, and the write permissions are used only to put a field back during a restore you confirmed. If the list changes, Shopify asks you to approve the change.

5.4 The information you give us, and the information Shopify passes to us about your store, must be accurate and kept up to date. We may rely on it.

5.5 A development store is a test store. Actorly may be installed on one for testing, and a development store is never charged.

## 6 Plans, and billing through Shopify

6.1 Actorly has two plans. Their names, prices and what they include are set out here and on the pricing page of the website.

Actorly WatchActorly Restore

Price$0, free, no trial$29 a month, or $240 a year

Change history kept90 days (about 3 months)Unlimited: kept for as long as the store stays on Restore and Actorly stays installed

RestoresOne restore a month, counted over the last 30 days, on 12 basic fieldsUnlimited restores, one field at a time, on all 15 restorable fields

Export to CSV or JSONNot includedIncluded

Scheduled checksWeeklyDaily

6.2 Seeing is free and fixing costs: the history, the old and new values, search, filters, who made a change and the coverage page are the same on both plans. Restore and export are paid features.

6.3 Billing is done entirely by Shopify under Shopify Managed Pricing. The charge appears on your usual Shopify invoice. You choose monthly or yearly on Shopify's own plan page, and you change plan or cancel in your Shopify admin. Actorly has no billing screen of its own, takes no card details, and does not charge you directly.

6.4 There is no free trial, and no charge per change, per product or per store size. A busy store pays the same as a quiet one. A fair-use monitor watches volume for our own information and never bills.

6.5 If we cannot confirm which plan a store is on, for example because Shopify's answer is missing or out of date, Actorly treats the store as being on Watch until it can confirm otherwise. It never gives Restore by accident.

6.6 Prices are in US dollars. Any tax that applies is handled through Shopify's billing, as Shopify's own terms provide, and not by us. If we change a price, we will tell you in the app, through Shopify or by email to the store owner before the new price applies to you, and it takes effect as Shopify's pricing rules allow. You can cancel before it does.

## 7 Cancelling, changing plan and refunds

7.1 You can cancel at any time in your Shopify admin, or by uninstalling Actorly. Charges stop when you cancel or uninstall, as Shopify applies it.

7.2 Moving from Restore to Watch. You keep the last 90 days of history. History older than 90 days is deleted after 14 days' notice. The app warns you before that deletion, and the deletion is once and for all: moving to Restore again does not bring it back. If Actorly cannot confirm that your store is on Watch, nothing is deleted.

7.3 Moving from Watch to Restore. History from then on is kept without a limit while the store stays on Restore. History that had already passed 90 days and was deleted earlier is not recreated.

7.4 Saved copies of Shopify's notifications are not removed when you move to Watch in this version of the service. They are removed when your store's data is erased after uninstall.

7.5 Refunds. Charges are made and collected by Shopify, so a refund may depend on Shopify's own billing terms as well as on ours. Except as the law or Shopify's billing policies require, fees paid for Actorly Restore are not refundable, including for a part of a billing period and for a plan change or a cancellation made partway through one. Where Shopify's billing provides a refund or credit in a specific case, that decides it, and we cooperate with Shopify's process. Actorly Watch is free.

## 8 Restores: what they are, their limits, and no guarantee

8.1 A restore puts one earlier value back into one field of one record. It starts from a change in your history and a button, and nothing is written until you confirm the exact value shown.

8.2 Before a restore writes anything, Actorly looks at what the field is now in Shopify and compares it with what it was when you opened the restore. If someone edited the field in between, Actorly stops and changes nothing, because it will not overwrite a change you have not seen.

8.3 After the write, Actorly asks Shopify again what the field holds and checks that it equals the value that was put back. Only then does it say Restored. Whatever the result, the attempt is written to your history as an Actorly action. It never claims who made the original change.

8.4 A restore can change only the fields on a fixed list of 15: a product's title, status, vendor, product type, description, theme template and tags; a variant's price; a collection's title, description and sort order; a location's name; a market's name; a file's alt text; and a shipping profile's name. A field that is not on that list cannot be restored by anyone.

8.5 On Watch, the one restore a month may use any of those fields except a product's status, a variant's price and a collection's sort order, which are on Restore only.

8.6 A restore does not do any of the following: restore many things at once, return a store or a field to a chosen date, restore a whole store, recreate a deleted item, restore inventory counts, change an order or a customer, or restore a theme.

8.7 A variant price restore writes that variant's price only. A market price fixed to an amount is not touched, and one set as a percentage is worked out from this price and so moves with it. The compare-at price is not changed. Restoring tags replaces the whole tag list, and the app shows you which current tags would be removed before you confirm.

8.8 If a check before the write fails, nothing is changed. If Actorly cannot confirm the value after the write, it tells you so and asks you to look at the field in Shopify, because your store may be unchanged or partly changed. Shopify, not Actorly, holds the store, and the final state of a field is whatever Shopify holds.

8.9 You are responsible for confirming that a restore is what you want and for looking at the result. A restore does not promise that your store will look or behave as it once did: other fields, apps, themes, integrations and shoppers' orders may depend on values Actorly did not and cannot change.

8.10 We do not promise that every change will be recorded, that every restore will succeed, or that a restore will undo the effects of a change. A restore is a tool, not a guarantee.

Back to contents

## 9 What Actorly cannot see, and how who-made-it is shown

9.1 Actorly cannot show changes made before it was installed, changes to parts of a store it does not track, or changes Shopify does not make available to apps.

9.2 Seven kinds of record have no starting import: customers, orders, fulfillments, draft orders, selling plans, metafield definitions and metaobjects. Their history starts with the first change Actorly sees after installation.

9.3 Who made a change is shown with how sure Actorly is, using a fixed set of words: Likely, Possible, Unknown, Not attributed yet and Investigating. Actorly matches Shopify's activity log to a change. That is a correlation made by fixed rules. It is not a statement that a person or app is responsible, and Actorly never shows a name as Confirmed.

9.4 Unknown is a permanent and valid answer. It means Shopify did not say who made the change, and Actorly will not guess.

9.5 Nothing in the history, and nothing Actorly shows about who made a change, may be treated as proof of fault. Do not rely on it alone for an employment, legal, contractual or disciplinary decision.

## 10 Your responsibilities

10.1 You are responsible for your store, its content and its settings. Actorly records and restores values; it does not review them, and a value being in your history does not mean it is correct, lawful or fit for sale.

10.2 You are responsible for the people you allow into your Shopify admin, for the permissions they hold, and for any restore they confirm.

10.3 You are responsible for having the notices and legal bases you need to use Actorly with your store's customer data. Actorly stores some personal details about customers when they appear in a change it records, and you stay responsible to your customers for what is done with their data in your store.

10.4 You will deal with customer data requests that Shopify forwards. When Shopify sends a request for a customer's data, Actorly shows it to the store owner under Settings, Privacy in the app. The store owner downloads a file of what Actorly holds about that customer and replies to the customer within the time Shopify allows. Erasure requests are carried out automatically.

10.5 You will check the result of a restore, keep your own backups of anything you cannot afford to lose, and not treat Actorly as your only backup.

10.6 You will not give us data you have no right to give us.

Back to contents

## 11 Acceptable use

11.1 You agree not to do any of the following.

- Use Actorly to break the law, to infringe anyone's rights, or to defraud anyone.
- Access, or try to access, a store you are not authorised to manage, or another store's data. Each store's history is kept in its own separate database and you may not attempt to reach another.
- Interfere with or disrupt the service, its servers or its networks, or send it traffic meant to overload it.
- Probe, scan or test the vulnerability of the service except through the process described on the security page.
- Reverse engineer, decompile or copy the service, except as far as the law allows despite this term.
- Bypass a plan limit, a restore limit, a rate limit or any other control, or share access in a way that avoids paying for a plan.
- Resell or sublicense the service, or offer it to others as your own, without our written agreement.
- Use Actorly to send or store unlawful content or malware.
- Use what Actorly shows to harass or discriminate against individuals, or to make decisions about them in a way the law prohibits.

11.2 If you are an agency or developer who manages several stores, each store that installs Actorly is a separate store with its own plan and its own history.

## 12 Your data, permissions and licence

12.1 Your store's data stays yours. We acquire no ownership of it. You give us a limited, non-exclusive licence to access, copy, store and process it, using the permissions you approved, only to run Actorly for your store: to record and show its change history, to run restores you confirm, to keep the service secure and working, and to meet our legal duties.

12.2 Actorly does not sell your data or use it for advertising. It does not use customer data to contact customers or for marketing.

12.3 What data Actorly keeps, where, with whom, and for how long is described in the privacy policy, and the same is set out contractually in the data processing agreement.

12.4 We may use data about the use of Actorly itself, such as counts and durations with no customer data and no store content, to run and improve the service.

12.5 You may export your history if your plan includes it. An export file is deleted three days after it is built.

## 13 Intellectual property

13.1 The service, its software, its design, its names and its logos belong to ONDUTYOPS LLC or its licensors. These terms give you a limited, non-exclusive, non-transferable, revocable right to use Actorly in your store for as long as these terms apply, and nothing else.

13.2 You keep all rights in your store, your products, your content and your customer relationships.

13.3 If you send us feedback or suggestions, we may use them without owing you anything, but we will not publish your name or your store's data with them without your permission.

13.4 Names and marks of Shopify and others used in the service belong to their owners. Using them does not imply an endorsement by them.

Back to contents

## 14 Third-party services

14.1 Actorly depends on services we do not control. Cloudflare hosts it and stores its data. Shopify is the platform it runs in. Slack is used for the limited purpose listed in the privacy policy, and PostHog is listed there too but is not in use today. If any of them is unavailable, changes its terms or limits what we can do, parts of Actorly may be slow, wrong or unavailable.

14.2 A webhook address you choose for alerts is yours. Actorly sends alerts to it over HTTPS and signs them, and we are not responsible for what you do with them or for the service at that address.

14.3 Links to third-party websites are for your convenience. We do not control them and are not responsible for them.

Back to contents

## 15 Availability, support and changes to the service

15.1 We work to keep Actorly running but we do not promise uninterrupted or error-free service. We may suspend the service for maintenance, security or reasons outside our control.

15.2 Support is by email at team@actorly.app. We reply as soon as we reasonably can, and we do not promise a response time or a service level unless one is agreed in writing.

15.3 We may change the service. If a change is material and harms you, we will tell you through the app, Shopify or the website.

Back to contents

## 16 Disclaimers and warranty exclusions

16.1 To the fullest extent the law allows, Actorly is provided "as is" and "as available". ONDUTYOPS LLC gives no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.

16.2 We do not warrant that the change history is complete, that every change will be noticed, that a change will be noticed at once, that who made a change is shown correctly, that a restore will succeed or will have the effect you expect, or that the service will meet your needs.

16.3 We do not hold a security certification, and nothing in these terms or on our website says that we are certified or compliant with any standard. Do not rely on Actorly as a compliance control.

16.4 Some places do not allow some of these exclusions. Where that is so, they apply only as far as the law allows.

Back to contents

## 17 Limitation of liability

17.1 To the fullest extent the law allows, ONDUTYOPS LLC is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost sales, lost data, lost goodwill or business interruption, even if told they were possible.

17.2 Our total liability arising out of or relating to these terms or the service, whether in contract, tort or otherwise, will not exceed the total amount you paid us for the service in the twelve (12) months immediately before the event giving rise to the claim. Because Actorly Watch is free, that amount may be zero.

17.3 These limits apply whatever the legal theory of a claim, and even if a remedy fails of its essential purpose.

17.4 Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or for death or personal injury caused by negligence, where the law applies those rules to you.

Back to contents

## 18 Indemnification

18.1 To the extent the law allows, you will indemnify, defend and hold harmless ONDUTYOPS LLC and its officers, members, employees and agents against claims, liabilities, damages, losses and expenses, including reasonable legal fees, that arise from your breach of these terms, your misuse of Actorly, the content of your store, your failure to have the notices or legal bases you need for your customers' data, or your infringement of another person's rights. We will tell you promptly of such a claim and let you manage it, but we may take part with our own counsel.

Back to contents

## 19 Suspension and termination

19.1 You may stop at any time by uninstalling Actorly.

19.2 We may suspend or end your use of Actorly, or restrict a feature, if you break these terms or the acceptable use rules, if your use puts the service or other stores at risk, if the law requires it, if Shopify requires it or withdraws our access to your store, or if Shopify reports that a charge for your plan failed.

19.3 Where we can, we will tell you why and give you a chance to fix the problem first. We may suspend access at once and without prior notice where you break the acceptable use rules, where your use is a security risk to us, to Shopify or to another store, or where the law or Shopify requires it. For any other breach we will give notice and a reasonable time to put it right, where it can be put right.

19.4 If we end the service as a whole, we will give notice through the app or Shopify and allow reasonable time to export history where your plan includes export.

19.5 Sections that by their nature should continue after the agreement ends, including those on intellectual property, disclaimers, liability, indemnification and governing law, continue.

## 20 Data on termination

20.1 When you uninstall, Shopify tells Actorly at once and sends a store-erasure request 48 hours later. Actorly then erases the store's change history, its account records and its stored evidence, and lists the stored evidence again to confirm that none is left.

20.2 If you reinstall within those 48 hours, nothing is erased. A store that is currently installed is never erased.

20.3 If you cancel a paid plan but stay installed, your data is handled as described in section 7.

20.4 If you want a copy of your history before you leave and your plan includes export, build the export before you uninstall. Export files are deleted three days after they are built.

20.5 If you ask for earlier deletion, write to team@actorly.app from the store owner's address and name the store. We confirm the request and carry it out within 30 days. Most stores need not ask, because the deletion that follows an uninstall is automatic.

20.6 Where the law requires us to keep a record, such as for tax or to defend a legal claim, we keep only what the law requires, for as long as it requires. At the date of these terms the only records we keep for that reason are the support messages described in the privacy policy.

Back to contents

## 21 Changes to these terms

21.1 We may change these terms. We will post the new version on this page with a new effective date. For a change that materially reduces your rights or raises what you pay, we will also tell you through the app, Shopify or by email to the store owner, a reasonable time before it takes effect.

21.2 If you keep using Actorly after a change takes effect, you accept the new terms. If you do not accept them, uninstall Actorly before the change takes effect.

21.3 These terms take effect on 2026-10-13.

Back to contents

## 22 Governing law and disputes

22.1 These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

22.2 Any dispute arising out of or relating to these terms or the service is resolved exclusively in the state and federal courts located in the State of Delaware, and each of us consents to the personal jurisdiction of those courts.

22.3 Before starting a formal dispute, please write to team@actorly.app and give us a reasonable chance to put it right.

22.4 Consumers and others who have mandatory rights under the law of the place where they live keep those rights. Nothing in these terms removes them.

Back to contents

## 23 General provisions

23.1 Entire agreement. These terms, the privacy policy and, where it applies, the data processing agreement are the whole agreement about Actorly and replace earlier statements about it.

23.2 Severability. If a court finds a part of these terms unenforceable, the rest stays in force and the part is read as narrowly as needed.

23.3 No waiver. Not enforcing a right is not giving it up.

23.4 Assignment. You may not transfer these terms without our written consent. ONDUTYOPS LLC may transfer them to an affiliate or to a successor of its business, with notice to you.

23.5 Force majeure. Neither of us is liable for a failure caused by events outside reasonable control, including the failure of Shopify, of Cloudflare or of the internet.

23.6 No partnership. These terms do not make us partners, agents or employees of one another.

23.7 Notices. We may give notice by posting in the app, by email to the store owner's address held by Shopify, or on this page. You may give notice at team@actorly.app.

23.8 Language. If these terms are translated, the English version decides.
